These Terms of Service (“Terms”) constitute a legally binding agreement between you and Marron Health (“Company,” “we,” “us,” or “our”) governing your access to and use of our website, mobile application, and telehealth services (collectively, the “Services”).

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Reside in a state where our Services are available
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable law

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone for any reason at any time.

Marron Health provides a technology platform that connects users with licensed healthcare providers for telehealth consultations related to weight management. Our Services may include:

• Online health assessments and eligibility screening
• Telehealth consultations with licensed physicians
• Prescription of FDA-approved medications when medically appropriate
• Coordination with licensed pharmacies for medication fulfillment
• Ongoing support and follow-up care
• Access to educational resources and health tracking tools

4. Medical Services Disclaimer

IMPORTANT: Marron Health is a technology platform. Medical services are provided by independent, licensed healthcare providers. All clinical decisions, including whether to prescribe medication, are made solely by the treating healthcare provider based on their independent medical judgment.

• Not all patients will qualify for prescription medications
• Medications are prescribed only when deemed medically appropriate
• Results vary from person to person
• Our Services do not replace emergency medical care
• If you experience a medical emergency, call 911 immediately

5. User Responsibilities

By using our Services, you agree to:

• Provide accurate, complete, and current information about yourself
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account
• Use the Services only for lawful purposes
• Not misrepresent your identity or health information
• Follow the treatment plan prescribed by your healthcare provider
• Report any adverse reactions or side effects promptly
• Not share prescription medications with others

6. Subscription and Payment

6.1 Subscription Plans

Our Services are offered on a subscription basis. By subscribing, you agree to pay all fees associated with your selected plan. Subscription fees are billed in advance on a recurring basis (monthly or as otherwise specified).

6.2 Payment Terms

• All fees are in U.S. dollars and are non-refundable except as expressly stated
• You authorize us to charge your payment method for all fees due
• If payment fails, we may suspend or terminate your access to Services
• We reserve the right to change pricing with 30 days' notice

6.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to Services until the end of the paid period. Medication shipments scheduled before cancellation will be fulfilled.

7. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the compilation thereof, are the exclusive property of Marron Health or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARRON HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or other intangible losses
• Damages resulting from unauthorized access to your account
• Damages resulting from any third-party content or services
• Damages arising from any medical treatment or advice

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Marron Health and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and shall take place in the state where Marron Health is headquartered.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the “Effective Date.” Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

15. Severability
